As part of our restructuring plan, in December 2017, we announced an immediate suspension of dividends on the common shares (ordinary and ADRs), and then on the Q4-17 earnings call in February 2018 we announced the suspension of dividends on the Mandatory Preferred Shares. Dividend payments are evaluated on a quarterly basis by the Board of Directors.

Dividends that are declared will be payable on the dividend payment dates to holders of record of the Mandatory Convertible Preferred Shares on the immediately preceding March 1, June 1, September 1 and December 1 (each a “record date”).

The conversion rate for each Mandatory Convertible Preferred Share will be not more than16.0000 of our ADSs and not less than 13.3333 of our ADSs (the “minimum conversion rate”), depending on the applicable market value of our ADSs, and subject to certain anti-dilution adjustments. The “applicable market value” of our ADSs is the average VWAP per ADS over the 20 consecutive trading day period beginning on and including the 22nd scheduled trading day immediately preceding the mandatory conversion date.
